Governance

Underpinning all of our sustainability work is a robust governance structure and management process to ensure that our commitments and responsibilities are monitored and delivered.

A three-tier model enables comprehensive governance of our business and operations in line with our sustainability goals.

Executive leadership team

Our Executive Leadership Team (ELT) is based on a delegated authority structure, providing a high level of governance and control throughout the business. The Board of Encyclis is comprised of external experts appointed as non-executive directors.

Sustainability committee

Our Sustainability Committee has overall responsibility for the sustainability of the business and meets on a quarterly basis.

Committee members have the necessary knowledge, skills and expertise in matters of sustainability to carry out the duties and responsibilities delegated by the Board.

They are also responsible for:

  • Tracking current trends and identifying emerging systainability risks, as well as developments in the regulatory landscape.
  • Overseeing the regular review and updating of Encyclis’ policies and procedures, as well as controls for the collection, management and monitoring of data on sustainability
  • Reviewing and monitoring the mechanisms for stakeholder engagement and advising the Board on the outcomes of these efforts.

Sustainability council

The Sustainability Council is a multi-disciplinary group of volunteers from different areas of the business, working together to support the responsibilities of the Sustainability Committee.

The Sustainability Council meets quarterly and contributes to good governance in a number of ways, including:

  • Reviewing and advising on the impact of incoming legislation and regulatory changes
  • Providing insight on the scope of the company’s annual Sustainability Reports
  • Giving feedback on critical sustainability drivers across the business including, new finance systems for consistent reporting, employee surveys, dissemination of safety protocols and efforts to reduce Scope 3 emissions.
